These Terms of Service ("Terms") govern your use of our website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. Please read them carefully before proceeding.
By accessing or using the services provided by Kico Web Design ("we," "us," or "our"), you ("Client," "you," or "your") agree to comply with and be bound by these Terms of Service. If you do not agree to these Terms, please do not use our services or website. These Terms constitute a legally binding agreement between you and Kico Web Design. Your continued use of our services signifies your acceptance of any updates or modifications to these Terms.
Kico Web Design provides professional digital services, including but not limited to:
Web Design & Development (custom website creation, redesign, and optimization), Mobile App Development (iOS and Android application development), Custom Business Applications (tailored software solutions for business needs), E-commerce Development (online store creation and management systems), SEO Services (search engine optimization and digital visibility enhancement), Digital Marketing (social media marketing, content marketing, and online advertising), and Website Maintenance (ongoing support, updates, and technical maintenance). All services are subject to availability and may be customized based on your specific requirements and our mutual agreement.
Clear project parameters ensure successful delivery and mutual understanding.
Before commencing any project, we will provide you with a detailed proposal outlining: Scope of work and deliverables, Project timeline and milestones, Pricing and payment terms, Client responsibilities and requirements, and Terms specific to your project.
Work begins only after you accept our proposal in writing (email or signed contract). Your acceptance constitutes agreement to the project terms, timeline, and pricing.
Any changes to the agreed scope of work must be requested in writing and are subject to: Additional fees based on the nature and extent of changes, Timeline adjustments, and Our availability and approval. We will provide a revised quote and timeline for any scope changes before proceeding with additional work.
Clear payment terms ensure smooth project progression.
All prices are quoted in Ugandan Shillings (UGX) unless otherwise specified. Prices are based on the scope defined in the project proposal and are subject to change for scope modifications.
Unless otherwise agreed, our standard payment structure is: Deposit (50% upfront payment required before work commences), Milestone Payments (for larger projects, additional payments may be required at specific milestones), and Final Payment (remaining balance due upon project completion and before final delivery).
We accept payment via bank transfer, mobile money, and other methods as agreed upon.
Invoices are due within the timeframe specified (typically 7-14 days from invoice date). Late payments may result in: Project suspension until payment is received, Late payment fees of 5% per month on overdue amounts, Withholding of project files and credentials, and Project termination for payments overdue by 30+ days.
Deposits and payments for work completed are non-refundable. However, we may provide refunds at our discretion in cases where: We are unable to deliver the agreed services, or Both parties mutually agree to terminate the project before substantial work has been completed.
Understanding ownership rights protects both parties.
You retain all rights to content, materials, logos, trademarks, and intellectual property you provide to us. By providing these materials, you grant us a license to use them solely for the purpose of delivering your project.
Upon full payment, you receive ownership and rights to the final deliverables as specified in the project agreement, including: Custom design files, Website or application code developed specifically for your project, and Content created specifically for your project.
We retain ownership of: Our development processes, methodologies, and workflows, Pre-existing code libraries, frameworks, and tools, Templates, plugins, and third-party resources used in your project, and Our brand, trademarks, and proprietary materials.
Projects may include third-party resources (plugins, themes, stock images, fonts) that are subject to their own licenses. You are responsible for complying with these third-party licenses.
Unless otherwise agreed in writing, we reserve the right to: Display your project in our portfolio, Use screenshots and descriptions for marketing purposes, and Reference your project as a case study. If confidentiality is required, please inform us in writing before project commencement.
Project timelines depend on multiple factors.
We provide estimated timelines based on project scope and complexity. Timelines are estimates and not guarantees. Actual delivery dates depend on: Timely receipt of client materials and feedback, Scope changes or additional requests, Technical complexities or unforeseen issues, and Third-party dependencies (hosting, domains, integrations).
We are not liable for delays caused by: Client failure to provide materials or feedback, Scope changes or additional requests, Technical issues beyond our control, and Force majeure events (natural disasters, political instability, etc.).
Projects are considered delivered when: All agreed deliverables are provided, Client has had reasonable opportunity to review, and Any agreed-upon revisions are completed.
Understanding revision policies prevents scope creep.
Each project includes a specified number of revision rounds as outlined in the proposal (typically 2-3 rounds). Revisions must be: Requested within the agreed timeframe, Within the original project scope, and Provided in a consolidated format.
Revisions beyond the agreed number or outside the original scope will be billed at our standard hourly rate or as quoted.
Your approval of deliverables constitutes acceptance. Lack of response within the agreed timeframe (typically 7-14 days) will be considered acceptance.
Hosting and maintenance are separate from development services.
We can recommend hosting providers, but you are responsible for: Selecting and paying for hosting services, Domain registration and renewal, and Maintaining hosting account credentials.
Post-launch support and maintenance are available through separate maintenance agreements. Without a maintenance agreement: Updates and modifications are billed separately, We are not responsible for issues arising from client modifications, and Support is provided on a best-effort, time-available basis.
We recommend regular updates to plugins, themes, and core systems for security. You are responsible for these updates unless covered by a maintenance agreement.
Understanding warranties and limitations protects both parties.
We warrant that: Services will be performed with professional skill and care, Deliverables will substantially conform to agreed specifications, We have the right to provide the services, and Original work created by us will not infringe third-party intellectual property rights.
Except as expressly stated above, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to: Warranties of merchantability or fitness for a particular purpose, Uninterrupted or error-free operation, Specific results or outcomes (e.g., search engine rankings, sales conversions), and Compatibility with all browsers, devices, or future updates.
We are not responsible for the performance, availability, or support of third-party services, including: Hosting providers, Domain registrars, Payment processors, Social media platforms, Email service providers, and Third-party plugins or integrations.
Important Legal Notice: This section limits our liability. Please read carefully.
You agree to indemnify, defend, and hold harmless Kico Web Design, its directors, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from: Your use of our services, Breach of these Terms, Content, materials, or information you provide, Violation of any laws or third-party rights, and Unauthorized modifications to deliverables.
Both parties commit to protecting confidential information.
We treat all client information as confidential and will not disclose it to third parties except: With your written consent, To service providers necessary for project delivery, or As required by law.
You agree to keep confidential any proprietary information, processes, or methodologies we share with you during the project.
Confidentiality obligations do not apply to information that: Is publicly available, Was already known to the receiving party, or Is independently developed without using confidential information.
Either party may terminate the agreement under certain conditions.
You may terminate the project at any time with written notice. Upon termination: You are responsible for payment of all work completed to date, Deposits and payments for completed work are non-refundable, and We will provide work-in-progress files for completed and paid work.
We may terminate the project if: Payment is more than 30 days overdue, You breach these Terms materially, You fail to provide required materials or feedback for more than 30 days, or The working relationship becomes untenable.
Upon termination: All outstanding invoices become immediately due, We retain the right to withhold deliverables until full payment, Both parties remain bound by confidentiality obligations, and Intellectual property provisions remain in effect.
We prefer to resolve disputes amicably.
In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation.
If negotiation fails, parties may agree to mediation before pursuing legal action.
These Terms are governed by the laws of the Republic of Uganda. Any legal proceedings shall be conducted in the courts of Uganda.
These Terms are provided in English. In case of translation, the English version shall prevail.
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to: Natural disasters (earthquakes, floods, fires), War, terrorism, or civil unrest, Government actions or regulations, Internet or telecommunications failures, Labor disputes or strikes, and Pandemics or public health emergencies.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with any project proposal or contract, constitute the entire agreement between you and Kico Web Design and supersede all prior agreements, whether written or oral, relating to the subject matter.
We reserve the right to modify these Terms at any time. Changes will be effective when posted on our website with an updated "Last Updated" date. Your continued use of our services after changes constitutes acceptance of the modified Terms. For ongoing projects, the Terms in effect at the project start date shall apply unless both parties agree to updated Terms.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity in the event of a merger, acquisition, or sale of assets.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing.
All notices under these Terms must be in writing and delivered via: Email to the addresses provided, Physical mail to our business address, or Through our website contact form. Notices are considered delivered when sent by email or three days after mailing.
